A Dealership Agreement is a legal contract between a company and a business concern which outlines the agreed terms between the parties viz. performance targets, use of intellectual rights, non-compete clause, territorial guidelines, exclusive/ non-exclusive rights, duties and responsibilities of the dealer, termination grounds, payment and delivery terms, etc.
Authorisation from the Board of Directors of the company can be obtained for execution of the dealership agreement. Generally, in the board resolution to be passed, authorisation is given to one or more officials to sign the contract and the Board takes note of the draft agreement presented to the directors.
