Draft Board Resolution for Issue of Request for Proposal (RFP)

A request for proposal (RFP) is a formal document that is issued by any organisation who is interested to procure some kind of goods/assets or services in relation to any of its projects or in general for the organisation.

A RFP solicits proposals from prospective suppliers of the required goods/assets or services who are interested to render such service to that organisation. Such proposals are generally made through a bidding process, wherein finally one or more selective suppliers are chosen.

A RFP document is generally presented before the Board of Directors of the company for approval before issuing it. The Board may approve or reject it and in case of rejection they may ask for preparation of new RFP with the proposed guidelines as suggested by the Directors.

The Managing Director informed the Board that in order to carry out the proposed project on ...............details............, it was necessary that the selection of suppliers for ...........purpose........ be done. The company has prepared a draft of the Request for Proposal (RFP) for this purpose. The draft RFP was placed before the meeting.

After detailed discussions following resolutions were passed unanimously:

“RESOLVED THAT the draft Request for Proposal (RFP) for selection of suppliers for .............purpose.............. as placed before the Board in the meeting be and is hereby approved for issuing to the public at large.

RESOLVED FURTHER THAT (Name), (Designation) of the company be and is hereby authorized to carry out all enabling actions to give effect to the foregoing resolution.”
