Draft Board Resolution for Signing Consent Terms in Court Case

In order to get a consent decree from the court, the parties to a court case file signed copies of consent terms entered into between them.

Consent decree is an order of a judge disposing off a court case based upon the submission of consent terms by the parties.

Consent terms is a written agreement or settlement that resolves a dispute between two parties without admission of guilt or liability.

The consent terms have to be signed by the parties or their representatives. In case a company is a party to the case, the board of directors through a resolution has to authorise someone to sign the consent terms on behalf of the company.

RESOLVED FURTHER THAT a copy of the resolution certified to be true by the Managing Director or the Company Secretary or any two directors of the company be given as and when necessary.”
