Draft Board Resolution for Shop and Establishment Registration

Under the Shops and Establishments Act of the respective states, the shops and commercial establishments are required to obtain registration under the Act and file the necessary documents and information with the concerned authority for their locality.

All companies have one or more establishments through which they operate whether only for official purposes or for production related works or for both purposes. The companies are also required to obtain shops and establishments registration for their establishments whether they've taken it on lease or they own it.

The Board of Directors by passing a resolution in their meeting can authorise official(s) to apply for registration under the Shops and Establishments Act.

FURTHER RESOLVED THAT (Name of the Director / Officer), (Designation) be and is hereby authorised to  sign and submit necessary documents, take all necessary steps, liaison and correspond with the concerned authorities as may be required for obtaining Shop and Establishment registration for the said establishment of the company.

FURTHER RESOLVED THAT in pursuance with the section ... of the ................ Shops and Establishments Act, (year), (Name of the Director/ Officer), (Designation), be and is hereby appointed as the Manager of the said establishment of the company and that he shall be responsible for various compliances as required under the ...........
