Board Resolution for Authorisation to File Forms with RoC, MCA

board resolution for filing forms with rocThe board of directors of a company can pass a resolution in its meeting in order to give a general authorisation in favour of a certain director or officer for filing the forms and documents with the statutory authorities as required to be filed from time to time under the Companies Act.

Once such authorisation is given, thereafter in the board resolutions in the succeeding meetings, the requirement to authorise an official for filing of a certain form will not be mandatory unless the board thinks otherwise or the circumstances are different.


Templates of such board resolution are as follows —

SAMPLE #1

#. To give general authorisation to the Managing Director to file eforms

"RESOLVED THAT the Board of Directors do hereby authorize Ms. ...................., Managing Director of the company to sign, execute and arrange to file, for and on behalf of the company, necessary eforms, returns and documents viz. agreements, affidavits, undertakings, declarations/disclosures and receipts with the Registrar of Companies, Regional Director(s), Ministry of Corporate Affairs, Central Government and/or any other statutory authority, as required under the Companies Act, 2013 and rules made thereunder and any other relevant applicable law.

RESOLVED FURTHER THAT the Board be informed about the filing of any such forms and documents either in advance wherever required or post to filing of these."

#. To authorise the Company Secretary to file eforms with ROC & other statutory authorities

"RESOLVED THAT Ms. .................., Company Secretary be and is hereby authorised to file eforms, for and on behalf of the Company, as may be required to be filed under the Companies Act, 2013 and rules framed thereunder and any other relevant law, including any amendments thereto for the time being in force, with the Registrar of Companies, Regional Director(s), Ministry of Corporate Affairs, Central Government and/or any other statutory authority, as may be necessary."
